Carve-Out
Business
Operational and organisational separation of business functions to create autonomy, value and scalability.
Finance
IT
Operations
A carve-out is not merely a financial manoeuvre: it is the surgical separation of a function or business unit
to make it autonomous, transferable or scalable. It demands simultaneous financial rigour,
operational continuity and technological alignment — three fronts that must be managed as a single integrated project.
01
Finance
- Accounting perimeter separation Definition and isolation of the economic and financial items attributable to the carve-out entity.
- Carve-out financials Preparation of standalone/combined financial statements compliant with the required accounting standards.
- Autonomous financial structure Cash pooling, treasury, dedicated credit lines and independent banking relationships.
- Tax & transfer pricing Analysis of tax implications, intercompany pricing policies and structure optimisation.
- Standalone reporting Activation of a management control and standalone reporting system operational from Day 1.
IT
- IT landscape assessment Mapping of shared systems, application dependencies and infrastructure to be separated or replicated.
- Data separation & migration Secure extraction, cleansing and migration of data to independent IT environments in compliance with GDPR.
- Standalone applications Make/buy/SaaS assessment for each critical system (ERP, CRM, BI) and implementation of chosen solutions.
- TSA (Transitional Service Agreements) Negotiation and management of transitional IT service contracts with the parent company.
- Cybersecurity & compliance Credential separation, access management, and alignment with security regulations.
Operations
- Production perimeter Identification of plants, lines, equipment, warehouses and assets to be assigned to the separated entity.
- Autonomous supply chain Redesign of supplier relationships, independent procurement management and logistics.
- Contracts & licences Renegotiation or new execution of supply contracts, technology licences and manufacturing agreements.
- Workforce & know-how Transition of operational staff, transfer of production know-how and management of labour relations.
- Operational continuity Separation plan ensuring zero disruption to the production cycle throughout the entire transition.
Delivery Methodology
Four phases for a precise separation
with zero discontinuity
PHASE 01
Scoping & Assessment
Definition of the exact perimeter, mapping of interdependencies between functions, and estimation of operational, IT and financial complexity.
PHASE 02
Carve-Out Plan
Integrated plan for Finance, IT and Operations: activity sequence, responsibilities, critical dependencies and TSA plan.
PHASE 03
Separation Execution
Parallel execution across three fronts with a dedicated PMO, weekly monitoring and active management of transition risks.
PHASE 04
Day 1 & Stabilisation
Activation of the autonomous entity, post-separation operational review and stabilisation support during the first 90 days.
02
Integrated PMO — Finance, IT & Operations
Unified coordination of the three workstreams with project governance, weekly stakeholder reporting and management of critical interdependencies between functions.
Transitional Service Agreements (TSA) management
Definition, negotiation and monitoring of transitional service contracts to ensure operational continuity during the separation period until full autonomy is achieved.
Change management and communication
Communication plan targeting employees, clients, suppliers and institutional stakeholders. Management of organisational uncertainty and support for people throughout the transition.
Legal, compliance & data room
Support for the legal structuring of the transaction, preparation of due diligence documentation, management of authorisations and regulatory requirements.
Perimeter valuation and value enhancement
Analysis of the separated entity's value, identification of pre-disposal optimisation levers and support for presentation to buyers or investors.
03
Carve-Out Financials
Standalone/combined financial statements of the separated entity, autonomous reporting and financial structure operational from Day 1.
IT Standalone Architecture
Separated and fully functional IT systems, migrated data, negotiated IT TSAs and a plan to exit technological dependency.
Autonomous Operations
Supply chain, contracts and workforce operating independently, with production continuity guaranteed throughout the transition.
Carve-Out Master Plan
Integrated separation plan with milestones, responsibilities, dependencies and risk plan for Finance, IT and Operations.
TSA Framework
Full set of Transitional Service Agreements negotiated with the parent company, with defined duration, SLAs and exit plan.
Day 1 Readiness Report
Formal verification of the separated entity's operational readiness across all three fronts prior to official activation.
